Terms and Conditions for 1-Hour Odoo Consultancy Service

1. Service Description:
   This agreement covers a one-hour consultancy session focused on Odoo, an open-source suite of business applications. The consultancy will provide advice, recommendations, and guidance on the use and implementation of Odoo software.
2. Consultant's Obligations:
   The consultant will provide expert advice on Odoo based on the information provided by the client.
   The consultant will be available for the duration of the scheduled hour at an agreed-upon time.
   The consultant will maintain confidentiality regarding any business information disclosed during the consultancy.
3. Client's Obligations:
   The client will provide any necessary information and materials relevant to the consultancy in advance (including billing address and VAT number if available)
   The client will be available at the agreed-upon time for the consultancy session.
   The client will use the advice provided for lawful purposes and in accordance with Odoo licensing agreements.
4. Payment Terms:
   The client agrees to pay for the one-hour consultancy session.
   Payment is due at time of order.
5. Cancellation and Rescheduling:
   Either party may reschedule the session with 24 hours notice.
   Cancellations by the client within 24 hours of the scheduled time may be subject to a fee equivalent to 1 hour session price .
6. Limitation of Liability:
   The consultancy is advisory only. The consultant is not liable for any direct or indirect losses resulting from advice provided.
   The consultant's liability in connection with this service will not exceed the fee paid for the consultancy session.
7. Intellectual Property:
   Any materials provided during the consultancy remain the intellectual property of the consultant or relevant third parties.
   The client may use provided materials for internal business purposes only.
8. Governing Law:
   This agreement shall be governed by the laws of Luxembourg.
9. Agreement Acceptance:
   By scheduling and paying for the consultancy session, the client agrees to these terms and conditions.
   

Terms and Conditions for Odoo Instance.

1. Service Description:
   This agreement pertains to the hosting of an Odoo instance in the cloud, providing the client with access to Odoo's suite of business applications via a cloud-based server.
   
   
2. Service Provision:
   The service provider will host the Odoo instance on a cloud server, ensuring its availability and accessibility as per the agreed-upon service level agreement (SLA).
   Regular backups, maintenance, and updates of the Odoo instance will be conducted as necessary.
   
   
3. Client Responsibilities:
   The client is responsible for ensuring that all data input into the Odoo instance is accurate, legal, and non-infringing on third-party rights.
   The client agrees to use the Odoo instance for lawful business purposes and in compliance with applicable laws and regulations.
   
   
4. Data Security and Privacy:
   The service provider will implement reasonable security measures to protect the data stored within the Odoo instance.
   The client's data will be treated as confidential and will not be disclosed to third parties unless required by law.
   
   
5. Payment Terms:
   The client agrees to pay for hosting the Odoo instance.
   Payment terms will be monthly in advance.
   
   
6. Service Limitations and Modifications:
   The service provider reserves the right to modify or discontinue the service with prior notice to the client.
   Scheduled maintenance and updates may result in temporary unavailability of the Odoo instance, for which the provider will provide advance notice where possible.
   
   
7. Limitation of Liability:
   The service provider is not liable for any indirect, incidental, or consequential damages arising from the use of the Odoo instance.
   The total liability of the service provider under this agreement shall not exceed the total fees paid by the client for the service period in question.
   
   
8. Termination:
   Either party may terminate this agreement with 30 days notice.
   Upon termination, the client's data will be returned or destroyed as per the client's instructions.
   The data returned will be in a zip format containing both the filestore and the database. This format contains all the necessary information to restart the service on a different machine.
   
   
9. Governing Law:
   This agreement shall be governed by the laws of [insert jurisdiction].
   
   
10. Acceptance of Terms:
    By using the hosted Odoo instance, the client agrees to these terms and conditions.
